1. Agreement to Terms
These Terms of Service ("Terms") govern your use of SaffronPay UPI Gateway services. By registering or using our platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Merchant Eligibility and KYC
To use SaffronPay, you must:
- Be at least 18 years old and legally authorized to enter into contracts
- Operate a legitimate business registered in India
- Complete our KYC verification process including submission of PAN, GST registration (if applicable), bank account details, and business documents
- Provide accurate, current, and complete information during registration
We reserve the right to reject applications or suspend accounts that do not meet our eligibility criteria.
3. Acceptable Use
You agree NOT to use SaffronPay for:
- Sale of illegal goods or services (drugs, weapons, counterfeit items, etc.)
- Adult content, gambling, or cryptocurrency transactions (unless expressly permitted)
- Fraudulent, deceptive, or misleading activities
- Money laundering or terrorist financing
- Violation of any Indian laws or regulations
We reserve the right to immediately suspend accounts engaged in prohibited activities and report violations to authorities.
4. Fees and Taxes
Our transaction fees are clearly displayed on the Pricing page. All fees are exclusive of applicable taxes including Goods and Services Tax (GST) at 18%, which will be added to your invoice. Payment of fees is due as per your selected plan. We reserve the right to modify fees with 30 days' advance notice.
5. Payment Settlements
Settlement timelines (T+1, T+2, etc.) are indicative and subject to banking partner processing times. Delays may occur due to:
- Bank holidays and weekends
- Pending verification or compliance checks
- Chargebacks or disputes under investigation
- Regulatory holds or instructions from law enforcement
We will make commercially reasonable efforts to adhere to stated settlement schedules but are not liable for delays caused by third parties.
6. Chargebacks and Disputes
In the event of a chargeback or customer dispute:
- You will be notified immediately via email and dashboard alert
- You must provide evidence and documentation within 7 days
- We reserve the right to debit your settlement account for chargeback amounts
- Excessive chargebacks (>1% of transaction volume) may result in account review or suspension
7. Service Availability
We strive for 99.5% uptime but do not guarantee uninterrupted service. Downtime may occur due to:
- Scheduled maintenance (notified in advance)
- Emergency security patches
- Third-party infrastructure issues (payment networks, banking partners)
- Force majeure events
We will notify you of planned maintenance at least 48 hours in advance.
8. Limitation of Liability
To the maximum extent permitted by Indian law, our total liability to you for any claims arising from these Terms or your use of SaffronPay shall not exceed the fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
9. Indemnification
You agree to indemnify and hold harmless SaffronPay, its affiliates, and partners from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Unauthorized or fraudulent transactions through your account
- Your products, services, or business practices
10. Termination
Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your account immediately if:
- You violate these Terms or engage in prohibited activities
- We are required to do so by law or regulatory authorities
- Your account poses security or fraud risks
Upon termination, pending settlements will be processed subject to chargeback reserves (typically held for 180 days).
11. Modifications to Terms
We may modify these Terms from time to time. Material changes will be communicated via email 30 days before taking effect. Your continued use of SaffronPay after the effective date constitutes acceptance of the modified Terms.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of SaffronPay shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
